BioFence Marketing Opportunities

BioFence is the 1999 EPA Environmental Technology Award Winner. We also know that we have a winning product on our hands. Daily, we are told by general contractors, developers, and erosion control professionals that they are pleased with BioFence's performance, that they sat down and analyzed the cost of BioFence compared to hay bales and black plastic, and were amazed by the economic savings. It is rare that a product is not only environmentally better, but is also cost-conscious.

But we also know that we are slow at getting this product out to the market. We have become more order-takers than salesmen, and the spread of BioFence has been at a slow pace chiefly limited to the NorthEast - our traditional Environmental Research Corps' marketing base. So we have decided to offer limited rights to BioFence to assist us in marketing the product to the rest of the country.This material does not constitute an offer, nor fully describes all the terms and conditions that would apply to any marketing arrangement or sale of rights. There is a three-level means for a re-seller to get involved with marketing BioFence

Level 1

Non Exclusive Re-seller

ERC will grant a non-exclusive distributorship to a re-seller within a defined region in return for moneys paid in consideration. ERC will provide the reseller with an initial inventory of 25 rolls of BioFence (market value $1875 at MSRP), initial marketing literature, one product display, installation instructions, limited office support, and additional supplies of BioFence based on sales orders at a wholesale rate. A Non-exclusive Re-Seller distributorship is offered beginning at $3250

Note - ERC reserves all rights to the product, to the region, and to the distributorship rights. We reserve the right to set up another distributor in the defined region radius, and reserve the right to refuse sale of a non-exclusive distributorship to anyone at ERC's discretion. Non-exclusive distributors will be responsible to keep BioFence in stock, to honor all patents, copyrights, and trademarks, and to purchase additional marketing literature and/or product at defined prices from Environmental Research Corps alone.

Level 2

Exclusive Distributorship

ERC will grant an exclusive distributorship to a re-seller within a 50 mile radius in return for moneys paid in consideration. ERC will provide the reseller with an initial inventory of 50 rolls of BioFence (market value $3750 at MSRP), limited marketing literature, 5 product displays, installation instructions, selected office support, and additional supplies of BioFence based on sales orders at a preferred wholesale rate. No other distributorship will be sold to this region for a pre-defined period of time. An Exclusive Re-Seller distributorship is offered beginning at $9750

Note - ERC reserves all rights to the product, to the rest of the region outside the designated 50 mile radius, and to the manufacturing rights. We reserve the right to set up another distributor outside the 50 mile radius, and reserve the right to refuse sale of an exclusive distributorship to anyone at ERC's discretion. Exclusive distributors will be responsible to keep BioFence in stock, to honor all patents, copyrights, and trademarks, and to purchase additional marketing literature and/or product at defined prices from Environmental Research Corps alone.

Level 3

ERC will grant a manufacturing rights dealership for a limited period to an authorized BioFence manufacturer within a state-by-state location in return for moneys paid in consideration and with a royalty structure of a minimum of 3%. ERC will provide the authorized manufacturer with an initial inventory of 100-200 rolls of BioFence (dependent on area - market value $7500-15000 at MSRP), color marketing literature up to 5,000 pieces per year, 25 product displays for sub-locations, installation instructions, office support, and additional supplies of BioFence based on sales orders at a highly discounted wholesale rate until such time manufacturing facilities are completed. Time constraints will apply to set-up of operations. A royalty paid to ERC will apply to all sales of BioFence manufactured in the new facility. The authorized BioFence manufacturer will also have rights to purchase ERC's other environmental protection products at a wholesale rates, and will receive preferential treatment in the sales of manufacturing rights for those items. A Manufacturer Rights Dealership is offered beginning at $32,500 for designated areas C, $65000 for designated areas B, $97,500 for designated areas A, and $130,000 and up for designated areas A+ and above. See map for designations and availability.
